Terms of Service

1. Master Services Agreement

These Terms of Service ("Terms") govern the professional relationship between THORE Agency ("THORE," "Agency," "we," or "us") and business clients ("Client" or "you") engaging our services, including custom website engineering, AI voice receptionist systems (Aevra AI), paid ad management (Meta and Google Ads), and ongoing digital maintenance.

By approving a proposal, executing a work order, authorizing a Stripe retainer, or accessing the THORE Client Portal, you agree to these Terms in full.

2. Scope of Services & Delivery Standards

• Custom Website Studio: We design and deploy high-converting websites optimized for speed, mobile responsiveness, and search engine discovery. Source code access and production handover occur upon final milestone approval and payment receipt.
• Aevra AI Voice Automation: Deployed telephony trunks, prompt programming, and CRM webhooks are configured to client specifications. Client acknowledges that AI conversational systems rely on carrier voice transit and cloud inference.
• Paid Advertising (Google & Meta): Ad spend is paid directly by the Client to advertising platforms. THORE manages campaign architecture, copy, creative testing, and conversion tracking.

3. Client Responsibilities & Content Rights

Client warrants that all logos, trademarks, text copy, photography, trade licensing badges, and media provided to THORE for use on their digital assets are owned by the Client or properly licensed.

Client agrees to review and test deployed voice call prompts, dispatch numbers, and forms within five (5) business days of launch to confirm operational alignment.

4. Retainers, Billing & Invoicing

• Month-to-Month Flexibility: Ongoing agency retainers and Aevra software subscriptions operate on a month-to-month basis with no multi-year lock-in required unless specified in a custom enterprise contract.
• Automated Billing: Recurring fees are charged to the primary payment method on file via Stripe on each monthly renewal date.
• Cancellation Policy: Retainers may be cancelled with fourteen (14) days advance notice prior to the next billing cycle by submitting a written notice to support or via the client dashboard.

While THORE Agency applies industry-leading best practices to maximize lead conversion and search engine discoverability, we cannot guarantee specific revenue figures, Google rank placement, or advertising ROAS.

• THORE Agency is not liable for third-party platform policy changes (such as Meta ad account bans, Google search algorithm shifts, or telecom carrier outages).
• In no event shall THORE Agency's aggregate financial liability exceed the total agency fees paid by the Client in the three (3) calendar months preceding the claim.

7. Governing Law & Jurisdiction

These Terms and any dispute arising from agency services shall be governed by the laws of the State of California. The parties submit to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California.
